Our terms and how we handle your information.
Terms of Business
These Terms of Business apply to all services provided by The Luna Group L.L.C-FZ ("we", "us", "our"), including services provided under the Luna Advisory brand, to every client ("you", "your"). By paying an invoice, accepting a proposal or quote, or using any of our services, you agree to these Terms.
Last updated: 29 October 2026. Aesthetic Business Coach and ClinicOS, also brands of The Luna Group, operate under their own published terms.
Summary
- Executive Coaching: from $5,000 USD a month.
- Private Coaching: from $10,000 USD a month.
- Every monthly plan has an initial term of 3 months, then continues month to month with 30 days written notice.
- Your plan's inclusions are confirmed at sign up and set out in your proposal or contract.
- All other work, including advertising management, custom CRM systems, AI agents and automations, software and exit planning, is quoted in writing before it begins.
- Notice runs from your next billing date, and that month is charged and delivered in full. Fees are not pro rated.
- Everything we build for you belongs to you once paid for.
- Confidentiality applies in both directions and to our whole team.
- These Terms are governed by the laws of the United Arab Emirates as applied in Dubai.
1. Definitions
- Services means executive coaching, private coaching, advisory, advertising management, marketing, lead management, custom CRM systems, AI agents and automations, software, integrations, exit planning support and any related deliverables.
- Engagement means the services you have bought, as described in your proposal, quote, invoice or checkout.
- Deliverables means anything we create specifically for your business as part of the Services.
- Background IP means the frameworks, methods, templates, code libraries, training and software we already owned, or develop separately, and reuse across clients.
- Billing date means the 1st of each month, unless your proposal states otherwise.
- In writing means by email. An email is treated as received on the business day after it is sent.
2. Our services and scope
The inclusions, price and timing of each plan and engagement are given to you at the time of sign up and set out in your proposal, contract, quote or invoice. Inclusions are delivered in order of priority as agreed with you. Anything not set out there is outside scope. We will always tell you before starting work that costs extra, and nothing outside scope is charged without your written agreement.
Each deliverable includes reasonable revisions within the agreed brief. A change of direction after approval, or a new brief, is treated as new work and quoted separately.
3. Private Coaching
- Private Coaching is billed monthly in advance, from $10,000 USD a month as set out in your proposal.
- Private Coaching has an initial term of 3 months, then continues month to month with 30 days written notice, as set out in section 10.
- Sessions are booked in your own time zone. Please give at least 24 hours notice to reschedule. Sessions missed, or cancelled with less than 24 hours notice, are treated as delivered.
- The inclusions of your Private Coaching engagement, including session frequency and any delivery support, are set out in your proposal or contract.
4. Executive Coaching
- Executive Coaching is billed monthly in advance, from $5,000 USD a month as set out in your proposal.
- Executive Coaching has an initial term of 3 months, then continues month to month with 30 days written notice, as set out in section 10.
- Sessions are booked in your own time zone. Please give at least 24 hours notice to reschedule. Sessions missed, or cancelled with less than 24 hours notice, are treated as delivered.
- Sessions may be recorded so you and your team can refer back to them. We will say so at the start of each session.
5. Advertising Management
- Advertising Management is quoted for each client. Your quote sets out the monthly fee, any fee linked to ad spend and how it is calculated, and when each is invoiced.
- Any fee linked to ad spend is calculated on the spend reported by the advertising platforms.
- Ad spend is separate from our fees and is paid by you directly to Google, Meta, LinkedIn, TikTok or the relevant platform, using your own payment method.
- Advertising Management has an initial term of 3 months, then continues month to month with 30 days written notice, as set out in section 10.
- Ad accounts, business managers, pixels and tracking remain in your name and under your ownership.
- You are the advertiser and are responsible for the accuracy of claims about your products and services and for advertising compliance in every market you advertise in. We review the content we produce carefully and will raise anything that looks non compliant, but our review is not legal advice.
- Platform decisions, including ad rejections, account restrictions, policy changes and algorithm changes, are outside our control and are not a failure to deliver.
6. Quoted projects: custom CRM, AI, software and exit planning
- All work other than Executive Coaching and Private Coaching is quoted. Each quote sets out the scope, deliverables, timeline, price and payment schedule, and is valid for 30 days unless it says otherwise.
- Work begins once the quote is accepted in writing and the first payment set out in the quote has been received. That first payment secures your place in our schedule and is not refundable once work has started.
- Timelines depend on you providing access, content, information and approvals promptly. If a project is held up for more than 30 days while we wait on you, we may pause or close it. Payments due under the quote remain payable, and restarting may be quoted as new work.
- Ongoing hosting, licences, support or maintenance after a build is completed is quoted separately unless included in the quote.
- Exit planning support is business guidance. It is not legal, tax, financial, valuation or investment advice, and we do not act as a broker or arrange transactions. You should take advice from your own accountant, lawyer and corporate finance advisers.
7. AI systems and automations
- AI can make mistakes. Replies and outputs are generated automatically and may occasionally be wrong, incomplete or out of date.
- You approve how each AI agent or automation is set up, including its knowledge, rules and hand over points, and you are responsible for keeping that information current and reviewing its output.
- You are responsible for messages, decisions and actions taken in your business's name by AI systems and automations, including those we built for you, except where something goes wrong because of our own error.
- AI agents must not be set up to claim to be a person, and should say they are an automated assistant if asked.
- Usage based costs, such as AI model usage, SMS, calls, phone numbers and software subscriptions, are not included in our fees unless your quote says so, and are paid by you.
8. Consent for messages, calls and data
You must have the consent and lawful basis required to contact every person you message, call or email using systems we build or manage for you, under the laws that apply where you and your customers are based. Every marketing message must identify your business and include a working way to opt out. Any fine, penalty, complaint or claim arising from messages sent from your systems is your responsibility, except to the extent it was caused by our own mistake.
9. Payments and billing
- Monthly fees are payable in advance on your billing date. Quoted work is payable as set out in the quote.
- All prices are in US dollars and exclude VAT and other applicable taxes, which are added at the rate that applies to you. Where your business accounts for the tax under a reverse charge, this is shown on your invoice.
- You must keep a valid payment method on file for the whole of a monthly engagement, and you authorise us to charge it for agreed fees and any outstanding invoices.
- Prices are fixed for your initial term. After that we may review them, usually once a year, with at least 30 days notice in writing.
- A failed payment fee of $35 USD applies once for each scheduled payment that fails. If a payment is still outstanding after 7 days, we may pause work, campaigns and access to systems we manage until your account is up to date. Fees continue during any pause.
- Invoices are due within 7 days. An administration fee of $70 USD applies to any invoice more than 7 days overdue, and interest accrues at 10% a year, calculated daily, until paid. You agree to pay our reasonable costs of recovering overdue amounts.
- Please contact us first if you think a charge is wrong. Raising a chargeback for fees properly owed under these Terms is a breach of these Terms, and any resulting fees and reasonable costs are added to your account.
10. Minimum terms and notice
All monthly plans, including Executive Coaching, Private Coaching, Advertising Management and any monthly engagement set out in a proposal or contract:
- The initial term is 3 months from your start date, unless agreed otherwise in writing.
- After the first 3 months, your plan continues month to month.
- To end it, give us 30 days written notice at any point after the initial term.
- You may give notice during the initial term, but all fees for the full 3 months remain payable, and the notice takes effect no earlier than the end of that term.
- You can upgrade at any time, with the new price applying from your next billing date. Downgrades follow the same 30 days notice and cannot take effect during the initial term.
One off work, such as quoted projects, is paid as quoted and is not subject to notice periods.
11. How 30 days notice works
- Notice must be in writing, by email, to the address on your proposal, contract or invoice. Notice given verbally, on a call or by message does not count until it is confirmed by email.
- Notice runs from your next billing date, not the day you send it.
- That next invoice is charged in full, and your service runs for that full month. We do not pro rata part months.
- You keep full access and delivery for the whole period you have paid for.
Worked example
Fees are billed on the 1st of each month. Say your initial term has ended and you send written notice on 5 November. Your next billing date is 1 December, so that invoice is still payable in full. Your service runs to 31 December, and you keep everything you are paying for until then. Nothing is charged on 1 January.
If you send notice on your billing date itself, say 1 November, the 1 November invoice is charged as normal and your service ends on 30 November.
Because notice runs from the next billing date, notice given on 2 November and notice given on 28 November both finish on 31 December. If you know you want to stop, telling us before your billing date is what brings the end date forward.
12. Who owns the work
- Every deliverable we create specifically for your business, including CRM configurations, automations, AI agent setups, software, dashboards, ad creative, landing pages, reports and recommendations, belongs to you once it has been paid for.
- Your accounts and your data remain yours throughout, including ad accounts, CRM data, domains and customer records.
- Our Background IP remains ours. Where a deliverable contains some of it, you receive a permanent, fee free licence to keep using it within your own business. You may not resell, publish or use it to build a competing product or service.
- Third party software, platforms, stock material and fonts remain subject to their own licences and subscription terms.
13. Confidentiality
Everything shared between us stays between us, in both directions. This covers financials, pricing, customer data, plans, systems, staff matters and anything a reasonable person would treat as confidential. Every team member and contractor working on your account is bound by the same obligations, and we remain responsible for them. Confidentiality applies for the whole engagement and for 3 years afterwards, and indefinitely for personal data. It does not cover information that is already public, independently developed or required to be disclosed by law. If you need a separate signed non disclosure agreement, ask and we will sign one.
We may say that we work with you and share anonymised results. Naming you, quoting you or using your logo or specific figures requires your written approval first.
14. Data protection
Where we handle personal data on your behalf, you remain the controller of that data and we act as your processor, using it only to deliver the Services and only on your instructions. We keep appropriate security measures in place, limit access to the team working on your account, and will tell you within 72 hours of becoming aware of a breach affecting your data. Our team and the platforms we use operate across several countries, so data may be stored or accessed outside your own country. Further detail is set out in our Privacy Policy. If you need a separate data processing agreement, ask and we will sign one.
15. Your responsibilities
You agree to provide accurate information, the access we need, and timely approvals; to treat our team with respect; to meet your own legal and regulatory obligations; and to seek professional legal, tax, financial or compliance advice where needed. Our coaching and advisory services are general business guidance and the decisions you make are yours. You confirm you have the rights to any content you supply to us, and you agree to cover any claim or loss we face because of content or materials you supplied or approved, except to the extent caused by our own mistake.
16. Our team
We may use approved team members and contractors to deliver the Services and remain responsible for their work and confidentiality. You agree not to directly engage or employ any team member or contractor who has worked on your account, other than through us, during the engagement and for 12 months afterwards. If you do, a placement fee equal to 6 months of the fees we charged for that person's work, or $6,500 USD if that cannot be calculated, becomes payable.
17. Results
We provide experienced strategy, guidance and delivery, but outcomes depend on many factors outside our control, including your implementation, budget, team and market. We do not guarantee specific revenue, leads, valuations, sale outcomes or other results unless a specific guarantee is set out in writing in your proposal, and then only on the conditions stated there.
18. Cancellations and refunds
If you end an engagement, it continues until the end of your notice period or initial term, whichever is later, and fees for that period remain payable. We do not offer refunds for change of mind, unused sessions or services, or partial months. Nothing in these Terms removes any rights you have that cannot be excluded by law.
19. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profit, revenue, data or opportunity. Our total liability in connection with any engagement is limited to the fees you paid for that engagement in the 3 months before the claim arose. Nothing in these Terms limits liability that cannot lawfully be limited, such as for fraud.
20. Termination
We may suspend or end the Services immediately if payments remain overdue, you raise an unjustified chargeback, there is abusive or threatening behaviour towards our team, or you commit a serious breach of these Terms and do not remedy it within 14 days of written notice. In that case, fees for the rest of your initial term or notice period, and any unpaid invoices and quoted payments, become payable immediately, less any costs we save. You may end an engagement immediately by email if we commit a serious breach and do not remedy it within 14 days of written notice, in which case fees for the remaining term are not payable. The ownership, confidentiality, payment and non solicitation sections survive termination.
21. Events outside our control
Neither party is responsible for delays or failures caused by events outside reasonable control, including serious illness, natural disaster, extended platform or internet outages, or government action. We will tell you promptly and agree a sensible way forward. This does not change your obligation to pay fees that are due.
22. Changes to these Terms
We may update these Terms from time to time. If a change materially affects an existing client, we will give at least 30 days notice by email, and you may give notice to end your engagement before it takes effect. The version published on this page is the current one.
23. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Both parties submit to the non exclusive jurisdiction of the courts of Dubai. If something goes wrong, please raise it with us first. We agree to discuss any dispute in good faith before either party starts formal proceedings. A dispute does not pause fees that are not in dispute.
24. General
- You may not transfer these Terms without our written agreement. We may transfer them to a related business, or to a buyer if our business is restructured or sold, provided the services you receive are not reduced.
- If any part of these Terms is found to be unenforceable, the rest continues to apply. If we do not enforce a right straight away, we have not given it up.
- Whoever accepts these Terms confirms they are authorised to do so on behalf of the business, and the business is bound by them.
- These Terms, together with your proposal, quote or invoice, form the whole agreement between us. Where they differ, your signed proposal or quote applies to the matters it covers.
- We are independent contractors. Nothing in these Terms creates a partnership, employment or agency relationship. We may work with other businesses in your sector unless exclusivity is agreed in writing.
